Payment Obligations

Clients agree to pay all fees according to the agreed payment schedule and terms. Late payments may result in service suspension or termination.

Service fees are quoted in Euros and are based on the scope of work outlined in individual service agreements. All prices include applicable taxes unless otherwise specified.

Payment Schedule

Late Payments

Payments are due within the specified timeframe. Late payments may incur additional fees and may result in service suspension until payment is received.

Refund Policy

Refunds are considered on a case-by-case basis and typically apply only to unused portions of prepaid services. Work already completed or in progress is generally non-refundable.

Intellectual Property Rights

Client-Owned Content

Clients retain ownership of their existing intellectual property, including trademarks, logos, brand assets, and proprietary content provided to us for use in our services.

Created Content

Content created specifically for clients during the course of our services typically becomes the property of the client upon full payment, unless otherwise specified in the service agreement.

SocialSpark Property

We retain ownership of our proprietary methods, tools, processes, and general knowledge developed through our work. This includes our strategic frameworks and analytical methodologies.

Third-Party Content

Both parties agree to respect third-party intellectual property rights and ensure proper licensing or permission for any third-party content used in campaigns or marketing materials.

Service Level Expectations

We strive to deliver high-quality services consistently, while setting realistic expectations:

Performance Standards

We commit to delivering services with professional standards and industry best practices. However, we cannot guarantee specific outcomes such as follower growth, engagement rates, or conversion metrics, as these depend on various factors beyond our control.

Communication Response Times

We aim to respond to client communications within one business day during normal business hours. Emergency issues will be addressed as quickly as possible based on their severity and impact.

Platform Dependencies

Our services depend on third-party social media platforms, which may change their policies, features, or functionality without notice. We will adapt our strategies accordingly but cannot control these external factors.

Limitation of Liability

While we work diligently to provide excellent service, it's important to understand the limitations of our liability:

SocialSpark's total liability for any claims arising from our services will not exceed the total amount paid by the client for services during the twelve-month period preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of business opportunities.

This limitation applies regardless of the legal theory on which the claim is based, whether contract, tort, negligence, or otherwise, and even if we have been advised of the possibility of such damages.

Service Termination

Either party may terminate our service relationship under certain conditions:

Termination by Client

Clients may terminate services with thirty days' written notice. Payment obligations for work completed and committed resources during the notice period remain in effect.

Termination by SocialSpark

We may terminate services immediately for breach of these terms, non-payment, or if we determine that continued service would be detrimental to our business or reputation.

Post-Termination

Upon termination, we will provide a reasonable transition period to transfer account access and completed deliverables. Any outstanding payments remain due, and confidentiality obligations survive termination.

Confidentiality and Data Protection

We take confidentiality and data protection seriously in all our client relationships:

Both parties agree to maintain the confidentiality of sensitive information shared during the course of our business relationship. This includes business strategies, proprietary information, customer data, and other confidential materials.

We implement appropriate technical and organizational measures to protect client data and comply with applicable data protection regulations. Our privacy policy provides additional details about our data handling practices.

Confidentiality obligations survive the termination of our service relationship and remain in effect for a reasonable period thereafter to protect both parties' legitimate business interests.

Initial Resolution Attempts

Any disputes should first be addressed through direct communication between the parties. We encourage open dialogue to resolve issues quickly and maintain positive working relationships.

Mediation

If direct resolution is not possible, both parties agree to attempt mediation through a mutually agreed-upon mediator before pursuing formal legal action.

Governing Law

These terms are governed by the laws of Greece, and any legal disputes will be resolved in the appropriate courts within Greek jurisdiction.

General Provisions

Entire Agreement

These terms, together with any specific service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.

Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.

Force Majeure

Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or other unforeseeable events.

Assignment

These terms and any service agreements may not be assigned by either party without the prior written consent of the other party, except in the case of business transfers or mergers.
